About Company: The Kenya Industrial Research and Development Institute (KIRDI) is the National Industrial Research, Technology and Innovation Institution under the Ministry of Industrialization and Enterprise Development. i. Bachelor's degree in Law (LLB)
ii. Master's degree in Law ,Strategic Management or any other relevant field
iii. Current Practicing Certificate from the Law Society of Kenya
iv. Certified Public Secretary (CPS) and a Member ofthe Institute ofCertified Public Secretaries ofKenya in
good standing. KASNEB qualifications for CPS will be an added advantage.
v. Minimum 9 years' experience with 3 years experience at Managerial level
vi. Proven Experience as Corporation Secretary or in similar governance role
i. Advising the Board on their duties, responsibilities, obligations, relevant laws and governance matters;
ii. Coordinating governance, legal and compliance audits;
iii. Assisting in preparation of Board and Committee work plans, budgets and charters
iv. Assisting in carrying out Board induction, training and evaluation;
v. Coordinating the timely preparation and circulation ofBoard and Committee meeting papers and
taking minutes thereof;
vi. Keeping safe custody ofthe Corporation seal, Board correspondences, records and other relevant
vii. Preparing legal advice and opinion, legal interpretation of various matters and handling legislation and
litigation matters relating to institute;
viii. Ensuring compliance with laws, rules and regulations by the Board and Management;
